By registering in accordance with Section 3, the User accepts the GTC valid at that time. The GTC can be accessed at any time in their currently valid version at the following link<\/span><a href=\"https:\/\/avantgardistinstitut.com\/de\/terms-conditions\/\"> <span style=\"font-weight: 400\">www.avantgardistinstitut.com\/terms-conditions\/<\/span><\/a><span style=\"font-weight: 400\"> .<\/span><\/p>\n<p><span style=\"font-weight: 400\">1.2 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 These GTC apply exclusively. Any of the user&#8217;s general terms and conditions that differ, conflict with or supplement these GTC shall only become part of the contract if and to the extent that the provider has expressly agreed to their validity. The requirement of consent shall also apply if the provider, being aware of the user&#8217;s general terms and conditions, provides the services without reservation.<\/span><\/p>\n<p><span style=\"font-weight: 400\">1.3 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The contractual language is German. If translations of these GTC or other contract-related declarations and documents into languages other than are made German (&#8220;read versions&#8221;), only the German version shall be binding.<\/span><\/p>\n<p><span style=\"font-weight: 400\">1.4 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The GTC and the service description according to section 2 are available to the user at any time via the link provided in section 1.1. The provider does not store the aforementioned texts or contracts concluded in connection with the user&#8217;s use of the tool for the user in any other way.<\/span><\/p>\n<p><span style=\"font-weight: 400\">1.5 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The provider expressly reserves the right to amend these terms and conditions. Amendments to these terms and conditions shall become effective if the user does not object to the amendments in writing (by email) within one month of receiving notification of the amendments and the provider has informed the user of the right to object and the applicable deadline in the notification of amendment. If the user objects to the change in text form, the previous terms and conditions continue to apply. In this case, the provider is entitled to terminate the usage contract in accordance with section 7 within two weeks of receipt of the objection. Excluded from this reservation of changes are those changes that relate to an obligation of one of the parties, the fulfillment of which is only made possible by the use of the tool and on the observance of which the other party regularly relies or may rely (\u201cessential contractual obligation\u201d).<\/span><\/p>\n<h3><b>2<\/b><span style=\"font-weight: 400\"> \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 <\/span><b>Subject of performance<\/b><\/h3>\n<p><span style=\"font-weight: 400\">2.1 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The provider&#8217;s main obligation is to provide the tool. This enables users to design their own collaborations according to the Liberating Structures methods. The user can use the tool to provide structured information in the form of text (\u201cprompt\u201d) as answers to five central questions. These questions help the user to precisely describe their workshop, meeting or event idea. In addition, the user has the option to upload optional files (e.g. PDF, TXT, DOCX) and share website or YouTube links to provide further information. Based on these inputs, the tool creates a structured workshop plan that integrates appropriate Liberating Structures methods. The output of the tool includes a detailed schedule with timings, invitations, questions, room arrangement, forms of participation and detailed descriptions of the process. The user can then copy the output text or use further prompts to further customize the output. Upon request, the tool generates the output in PDF and provides a link to view and download the PDF file. The tool supports the user in developing an interactive and inclusive workshop design that promotes collaborative, creative and participatory working methods.<\/span><\/p>\n<p><span style=\"font-weight: 400\">2.2 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The Provider shall make the tool available with the services offered therein as they were available at the time of the User&#8217;s registration in accordance with Section 3 and the GTC in force at that time (\u201cas is\u201d). Otherwise, the user has no right to a specific design or features of the tool. The provider reserves the right to modify the tool in whole or in part or to discontinue it permanently or temporarily at its own reasonable discretion, taking into account the interests of the user, provided that this does not adversely affect the provider&#8217;s material contractual obligations and is reasonable for the user; the procedure according to section 1.5 applies accordingly. Furthermore, the provider reserves the right to change or expand the content and structure of the tool and the associated user interface, provided that this does not significantly impair the fulfillment of the purpose of the contract concluded with the user.<\/span><\/p>\n<p><span style=\"font-weight: 400\">2.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The provider provides the tool with an overall availability of 95% on an annual average. The availability is calculated based on the time allotted to the respective calendar month in the contract period minus the necessary time allotted maintenance periods. The tool is not available during maintenance work.<\/span><\/p>\n<p><span style=\"font-weight: 400\">2.4 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The tool is provided to the user exclusively as a service that can be executed in the browser for the purpose of using the services offered with the tool. The provider is not obliged to hand over or make accessible source codes or interface definitions.<\/span><\/p>\n<p><span style=\"font-weight: 400\">2.5 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Users can access external websites via links that are not operated by the provider. Such links are either clearly marked by the provider (e.g. as an advertisement) or can be recognized by a change in the address line of the browser used by the user. The provider is not responsible for the content of these external websites; Section 6 remains unaffected.<\/span><\/p>\n<h3><b>3<\/b><span style=\"font-weight: 400\"> \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 <\/span><b>Registration and Subscription<\/b><\/h3>\n<p><span style=\"font-weight: 400\">3.1 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 In order to use the services offered by the provider using the tools, the user must register.<\/span><\/p>\n<p><span style=\"font-weight: 400\">3.2 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Users within the meaning of these Terms and Conditions must be commercial suppliers within the meaning of Section 14 of the German Civil Code (BGB). The Supplier reserves the right to refuse to register a user in individual cases without stating reasons. Subject to Section 6, there shall be no right to claim damages against the Supplier for refusing an interested party.<\/span><\/p>\n<p><span style=\"font-weight: 400\">3.3 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Registration as a user is done via an electronic registration form on the provider&#8217;s website using a business e-mail address and a password to be chosen by the user. At any time before the data entered in this form is sent, it can be corrected by overwriting or the registration process can be canceled by closing the browser window. Only by clicking on the \u201cSign up\u201d button does the user accept the underlying contractual conditions, in particular these GTC.<\/span><\/p>\n<p><span style=\"font-weight: 400\">3.4 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 To avoid abusive registrations, after the form has been sent to the provider, confirmation of registration is sent immediately by email to the email address provided in the form. The account opening is confirmed via the activation link contained therein.<\/span><\/p>\n<p><span style=\"font-weight: 400\">3.5 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 In order to use the tool extensively, registered users are given the opportunity to sign up for a a paid Pro account. This allows the user to purchase monthly credits, whereby 1 credit can be used for each prompt use of the tool. For this purpose, the user can select the desired Pro version in the \u201cPricing\u201d section. Clicking on the \u201cAdd\u201d button opens an overview page showing the user the details of the order, in particular the costs of the Pro account, the credits included, the term and the monthly service fee including the taxes included. By clicking on the \u201cCheckout with Stripe\u201d button, the user is taken to the checkout area, where the user must enter their billing information. The user has the option to review the order and correct it, if necessary, by clicking on the \u201cBack\u201d button. By clicking on the button \u201c<\/span>Subscribe&#8221;<span style=\"font-weight: 400\">, the user submits a binding offer to conclude the contract. After successful payment, an overview page opens with the message \u201cCongratulations! Your purchase was successful. This applies in particular to the applicable data protection regulations for application processes.<\/span><\/p>\n<p><span style=\"font-weight: 400\">4.2 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The user is responsible for complying with the legal requirements with regard to the content posted for the user. Each user must observe the applicable law and protect the rights of third parties. In particular, users are prohibited from<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400\">infringe third-party property rights such as trademarks, copyrights and naming rights;<\/span><\/li>\n<li><span style=\"font-weight: 400\">to post offensive, defamatory, pornographic, harmful to minor or otherwise criminally relevant content;<\/span><\/li>\n<li><span style=\"font-weight: 400\">unreasonably harass third parties, for example by sending unsolicited advertising (spam) or offensive or sexual communication to other users;<\/span><\/li>\n<li><span style=\"font-weight: 400\">use mechanisms, software and\/or scripts that go beyond the functionalities and interfaces provided by the provider, in particular if these block, modify, copy and\/or overwrite the provider&#8217;s services and these services are necessary for the contractual use of the tool.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400\">4.3 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The user must create backups of the content generated by the tool at appropriate intervals. The provider is only obliged to create backups if this is part of the services to be provided to the user in accordance with the service description.<\/span><\/p>\n<h3><b>5<\/b><span style=\"font-weight: 400\"> \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 <\/span><b>Sanctions<\/b><\/h3>\n<p><span style=\"font-weight: 400\">The Provider may, at its reasonable discretion (Section 315 BGB), impose one or more sanctions on the User if the User has violated these GTC or if there is good cause as defined in Section 7.3 of these GTC. The severity of the sanctions shall be based on the severity of the User&#8217;s violation. The sanction shall remain in place until the sanctioned action has been terminated by the user and any risk of repetition has been eliminated. The following sanctions may be imposed: (i) the deactivation or blocking of individual services or content for the user concerned, (ii) the deletion of the content posted for the user, and (iii) the complete blocking of access to the tool, including the user profile. The right to extraordinary termination for good cause by the provider in accordance with Section 7.3 remains unaffected, as does the assertion of further claims.<\/span><\/p>\n<h3><b>6<\/b><span style=\"font-weight: 400\"> \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 <\/span><b>Liability and availability<\/b><\/h3>\n<p><span style=\"font-weight: 400\">6.1 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Unless otherwise provided in these Terms and Conditions, the Provider shall only be liable for willful misconduct and gross negligence. This shall apply mutatis mutandis to legal representatives and vicarious agents, including subcontractors.<\/span><\/p>\n<p><span style=\"font-weight: 400\">6.2 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 The availability of the tool according to section 2.3 may be temporarily restricted in whole or in part due to technical faults for which the provider is not responsible, or due to force majeure (power and\/or internet failures, fire, explosion, earthquake, storm, epidemic, pandemic, flood, industrial action for which the provider is not responsible) in whole or in part, as well as due to the performance of maintenance work that serves to maintain and improve the operability and functionality of the tool. The user shall indemnify the provider against all pecuniary claims of other users or third parties that are brought against the provider as a result of an infringement by the content posted by a user and\/or by the use of the tool by the user. The user shall bear all reasonable costs incurred by the provider as a result of such infringement upon first request. This includes, in particular, the necessary costs of legal defense. This does not apply if the user is not responsible for the infringement. Eine andere Speicherung der vorgenannten Texte oder im Zusammenhang mit der Nutzung des Tools durch den Nutzer zustande gekommenen Vertr\u00e4ge durch den Anbieter f\u00fcr den Nutzer erfolgt nicht.<\/p>\n<p>1.5\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Anbieter beh\u00e4lt sich \u00c4nderungen dieser AGB ausdr\u00fccklich vor. \u00c4nderungen dieser AGB werden wirksam, wenn der Nutzer die \u00c4nderungen nicht innerhalb von einem Monat nach Zugang einer \u00c4nderungsmitteilung in Textform (E-Mail) widerspricht und der Anbieter den Nutzer in der \u00c4nderungsmitteilung auf das Widerspruchsrecht und die hierf\u00fcr geltende Frist hingewiesen hat. Widerspricht der Nutzer der \u00c4nderung in Textform, gelten die fr\u00fcheren AGB weiter. Der Anbieter ist in diesem Fall zur K\u00fcndigung des Nutzungsvertrages nach Ziffer 7 innerhalb von zwei Wochen nach Zugang des Widerspruchs berechtigt. Diese Fragen helfen dem Nutzer, seine Workshop-, Meeting- oder Event-Idee pr\u00e4zise zu beschreiben. Zus\u00e4tzlich hat der Nutzer die M\u00f6glichkeit, optionale Dateien hochzuladen (z. B. PDF, TXT, DOCX) sowie Webseiten- oder YouTube-Links zu teilen, um weiterf\u00fchrende Informationen bereitzustellen. Auf Basis dieser Eingaben erstellt das Tool einen strukturierten Workshop-Plan, der passende Liberating Structures-Methoden integriert. Der Output enth\u00e4lt einen detaillierten Ablaufplan mit Zeitvorgaben, Einladungen, Fragen, Raumanordnung, Partizipationsformen sowie detaillierten Ablaufbeschreibungen. Der Nutzen kann daraufhin den Output-Text kopieren oder mit weiteren Prompts versuchen, den Output weiter anzupassen. Auf Anfrage generiert das Tool den Output in PDF und stellt einen Link zur Ansicht und Download der PDF-Datei zur Verf\u00fcgung. Das Tool unterst\u00fctzt den Nutzer dabei, ein interaktives und inklusives Workshop-Design zu entwickeln, das kollaborative, kreative und partizipative Arbeitsweisen f\u00f6rdert.<\/p>\n<p>2.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Anbieter stellt das Tool mit den dort angebotenen Dienstleistungen so bereit, wie diese bei der Registrierung des Nutzers nach Ma\u00dfgabe von Ziffer 3 und der zu diesem Zeitpunkt geltenden AGB verf\u00fcgbar gewesen ist (\u201eas is\u201c). Im \u00dcbrigen hat der Nutzer keinen Anspruch auf eine bestimmte Ausgestaltung oder Ausstattung des Tools. Der Anbieter beh\u00e4lt sich das Recht vor, das Tool nach eigenem billigem Ermessen unter Ber\u00fccksichtigung der Interessen des Nutzers ganz oder teilweise zu \u00e4ndern oder dauerhaft oder vor\u00fcbergehend einzustellen, sofern hierdurch wesentliche Vertragspflichten des Anbieters nicht beeintr\u00e4chtigt werden und dies dem Nutzer zumutbar ist; das Verfahren nach Ziffer 1.5 gilt hierf\u00fcr entsprechend. Ferner beh\u00e4lt sich der Anbieter das Recht vor, Inhalt und Struktur des Tools sowie die dazugeh\u00f6rige Benutzeroberfl\u00e4che zu \u00e4ndern oder zu erweitern, sofern hierdurch die Zweckerf\u00fcllung des mit dem Nutzer geschlossenen Vertrages nicht oder nicht erheblich beeintr\u00e4chtigt wird.<\/p>\n<p>2.3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Anbieter stellt das Tool mit einer Gesamtverf\u00fcgbarkeit von 95\u2009% im Jahresmittel bereit. Die Verf\u00fcgbarkeit berechnet sich dabei auf der Grundlage der im Vertragszeitraum auf den jeweiligen Kalendermonat entfallenden Zeit abz\u00fcglich der auf notwendige Wartungszeiten entfallenden Zeitr\u00e4ume. W\u00e4hrend der Wartungsarbeiten steht das Tool nicht zur Verf\u00fcgung.<\/p>\n<p>2.4\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Das Tool wird dem Nutzer ausschlie\u00dflich als ein im Browser ausf\u00fchrbarer Service zur Inanspruchnahme der mit dem Tool angebotenen Dienstleistungen bereitgestellt. Die \u00dcbergabe oder Zug\u00e4nglichmachung von Quellcodes oder Schnittstellendefinitionen ist vom Anbieter nicht geschuldet.<\/p>\n<p>2.5\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00dcber Links k\u00f6nnen die Nutzer zu externen Internetseiten gelangen, die nicht vom Anbieter betrieben werden. Solche Links werden vom Anbieter entweder eindeutig gekennzeichnet (z.B. als Anzeige oder Werbung) oder sind durch einen Wechsel in der Adresszeile des vom Nutzer verwendeten Browsers erkennbar. F\u00fcr die Inhalte dieser externen Internetseiten ist der Anbieter nicht verantwortlich; Ziff. 6 bleibt unber\u00fchrt.<\/p>\n<h3><a name=\"_Toc192241778\"><\/a>3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Registrierung und Subscription<\/h3>\n<p>3.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Zur Inanspruchnahme der mittels der Tools vom Anbieter angebotenen Dienstleistungen ist die Registrierung des Nutzers erforderlich.<\/p>\n<p>3.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Nutzer i.S.d. dieser AGB k\u00f6nnen ausschlie\u00dflich gewerbliche Anbieter i.S.d. \u00a7 14 BGB sein. Der Anbieter beh\u00e4lt sich vor, im Einzelfall die Registrierung eines Nutzers ohne Angabe von Gr\u00fcnden zu verweigern. Jederzeit bis zum Absenden der in dieses Formular eingegebenen Daten k\u00f6nnen diese durch \u00dcberschreiben berichtigt oder der Anmeldevorgang durch Schlie\u00dfen des Browser-Fensters abgebrochen werden. Erst mit dem Klick auf die Schaltfl\u00e4che &#8220;Sign up&#8221; akzeptiert der Nutzer die zugrundeliegenden Vertragsbedingungen, insbesondere diese AGB.<\/p>\n<p>3.4\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Zur Vermeidung missbr\u00e4uchlicher Registrierungen erfolgt nach \u00dcbermittlung des Formulars an den Anbieter unverz\u00fcglich die Best\u00e4tigung der Registrierung per E-Mail an die im Formular angegebene E-Mail-Adresse. \u00dcber den darin enthaltenen Link zur Freischaltung wird die Account-Er\u00f6ffnung best\u00e4tigt.<\/p>\n<p>3.5\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Um das Tool umf\u00e4nglich zu nutzen, wird den registrierten Nutzern die M\u00f6glichkeit gegeben, einen kostenpflichtigen Pro Account abzuschlie\u00dfen. Hierdurch kann der Nutzer monatliche Credits erwerben, wobei 1 Credit f\u00fcr jede Nutzung des Tools verwendet werden kann. Zu diesem Zweck kann der Nutzer in der Rubrik Mit einem Klick auf den Button \u201eContinue\u201c landet der Nutzer auf der Eingabefl\u00e4che des Tools.<\/p>\n<p>3.6\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 F\u00fcr die Erf\u00fcllung der Zahlungspflicht bietet der Anbieter die Zahlung per Kreditkarte an.<\/p>\n<p>3.7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Nach erfolgreichem Vertragsschluss erh\u00e4lt der Nutzer eine automatische Best\u00e4tigung per E-Mail zu, in welcher die Bestellung des Nutzers und die AGB zur dauerhaften Speicherung zur Verf\u00fcgung gestellt werden.<\/p>\n<p>3.8\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Nutzer ist zur Geheimhaltung seines Passworts verpflichtet und hat dieses vor unbefugter Benutzung durch Dritte zu sch\u00fctzen. Der Nutzer ist zur \u00c4nderung des Passworts in regelm\u00e4\u00dfigen Abst\u00e4nden verpflichtet. Ist dem Nutzer ein Missbrauch seiner Zugangsdaten bekannt geworden, besteht die M\u00f6glichkeit oder droht ein solcher Missbrauch, wird der Nutzer den Anbieter unverz\u00fcglich hier\u00fcber informieren. F\u00fcr eine missbr\u00e4uchliche Nutzung seines Nutzerprofils haftet der Nutzer; dies gilt nicht, wenn der Nutzer die missbr\u00e4uchliche Nutzung nicht zu vertreten hat.<\/p>\n<p>3.9\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Vertragsschluss erfolgt in deutscher Sprache.<\/p>\n<p>3.10\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Die Rechnungsstellung erfolgt \u2013 sofern nicht abweichend vereinbart &#8211; digital; auf Rechnungserstellung in Papierform wird verzichtet.<\/p>\n<h3><a name=\"_Toc192241779\"><\/a>4\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Inhalte und Pflichten der Nutzer<\/h3>\n<p>4.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Nutzer hat in eigener Verantwortung sicherzustellen, dass in seinem Zust\u00e4ndigkeitsbereich die Bestimmungen des Datenschutzes, insbesondere der DSGVO und des BDSG eingehalten werden. Dies gilt insbesondere f\u00fcr die geltenden datenschutzrechtlichen Besonderheiten f\u00fcr Bewerbungsprozesse.<\/p>\n<p>4.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 F\u00fcr die Einhaltung der gesetzlichen Vorschriften hinsichtlich der f\u00fcr den Nutzer eingestellten Inhalte ist der Nutzer selbst verantwortlich. Jeder Nutzer hat das geltende Recht zu beachten und die Rechte Dritter zu wahren. Den Nutzern ist es insbesondere untersagt,<\/p>\n<ul>\n<li>Schutzrechte Dritter wie Marken, Urheber- und Namensrechte zu verletzen;<\/li>\n<li>beleidigende, verleumderische, pornografische, jugendgef\u00e4hrdende oder sonst strafrechtlich relevante Inhalte einzustellen;<\/li>\n<li>andere Nutzer und\/oder Dritte unzumutbar zu bel\u00e4stigen, etwa durch unverlangt zugesandte Werbung (Spam) sowie anz\u00fcgliche oder sexuell gepr\u00e4gte Kommunikation;<\/li>\n<li>\u00fcber die das Tool vom Anbieter bereitgestellten Funktionalit\u00e4ten und Schnittstellen hinausgehende Mechanismen, Software und\/oder Skripte einsetzen, insbesondere wenn hierdurch Dienstleistungen des Anbieters blockiert, modifiziert, kopiert und\/oder \u00fcberschrieben werden und diese Dienstleistungen f\u00fcr die vertragsgem\u00e4\u00dfe Nutzung des Tools erforderlich sind.<\/li>\n<\/ul>\n<p>4.3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Der Nutzer hat von den \u00fcber das Tool generierten Inhalte, in der Bedeutung der Inhalte entsprechenden Abst\u00e4nden Sicherungen zu fertigen (&#8220;Backups&#8221;). Der Anbieter ist zur Erstellung von Backups nur verpflichtet, wenn dies Bestandteil, der gegen\u00fcber dem Nutzer nach der Leistungsbeschreibung zu erbringenden Dienstleistungen ist.<\/p>\n<h3><a name=\"_Toc192241780\"><\/a>5\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Sanktionen<\/h3>\n<p>Der Anbieter darf nach billigem Ermessen (\u00a7 315 BGB) unter Beachtung der Interessen des Nutzers eine oder mehrere Sanktionen gegen den Nutzer verh\u00e4ngen, wenn dieser gegen diese AGB versto\u00dfen hat oder ein wichtiger Grund im Sinne von Ziff. 7.3 dieser AGB vorliegt. Die Schwere der Sanktionen hat sich nach der Schwere der Zuwiderhandlung des Nutzers zu richten. Die Sanktion bleibt solange bestehen, bis die sanktionierte Handlung von dem Nutzer abgestellt und eine etwaige Wiederholungsgefahr ausger\u00e4umt ist. Als Sanktionen kommen in Betracht: (i) die Deaktivierung oder Sperrung einzelner Dienstleistungen oder Inhalte f\u00fcr den betroffenen Nutzer (ii) die L\u00f6schung der f\u00fcr den Nutzer eingestellten Inhalte, sowie (iii) die vollst\u00e4ndige Sperrung des Zugangs zu dem Tool einschlie\u00dflich des Nutzerprofils. Das Recht zur au\u00dferordentlichen K\u00fcndigung aus wichtigem Grund durch den Anbieter nach Ziff. 7.3 bleibt hiervon ebenso unber\u00fchrt wie die Geltendmachung weitergehender Anspr\u00fcche.<\/p>\n<h3><a name=\"_Toc192241781\"><\/a>6\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Haftung und Verf\u00fcgbarkeit<\/h3>\n<p>6.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Soweit sich aus diesen AGB nichts anderes ergibt, haftet der Anbieter lediglich f\u00fcr Vorsatz und grobe Fahrl\u00e4ssigkeit. Dies gilt entsprechend f\u00fcr gesetzliche Vertreter und Erf\u00fcllungsgehilfen einschlie\u00dflich Subunternehmern.<\/p>\n<p>6.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Die Verf\u00fcgbarkeit des Tools nach Ziffer 2.3 kann zeitweise wegen technischer St\u00f6rungen, die nicht vom Anbieter zu vertreten sind, oder aus Gr\u00fcnden h\u00f6herer Gewalt (Ausfall von Stromversorgung und\/oder Internet, Brand, Explosion, Erdbeben, Unwetter, Epidemien, Pandemien, \u00dcberschwemmungen, vom Anbieter nicht zu vertretende Arbeitskampfma\u00dfnahmen) im Ganzen oder in Teilen eingeschr\u00e4nkt sein, ferner wegen der Durchf\u00fchrung von Wartungsarbeiten, die der Aufrechterhaltung und Verbesserung der Betriebsf\u00e4higkeit und Funktionalit\u00e4t der Tool dienen. F\u00fcr die Folgen einer eingeschr\u00e4nkten Verf\u00fcgbarkeit haftet der Anbieter ausschlie\u00dflich im Rahmen einer dem Nutzer in der Leistungsbeschreibung zugesagten Verf\u00fcgbarkeit und nur nach Ma\u00dfgabe der Ziff. 6.1.<\/p>\n<p>6.3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 F\u00fcr Pflichtverletzungen des Nutzers haftet ausschlie\u00dflich der Nutzer selbst. Der Nutzer stellt den Anbieter von s\u00e4mtlichen auf Zahlung gerichteten Anspr\u00fcchen anderer Nutzer und Dritter frei, die gegen den Anbieter wegen einer Rechtsverletzung durch die f\u00fcr einen Nutzer eingestellten Inhalte und\/oder wegen der Nutzung der Tool durch den Nutzer geltend gemacht werden. Der Nutzer \u00fcbernimmt auf erstes Anfordern alle dem Anbieter entstehenden und angemessenen Kosten, die aus einer solchen Rechtsverletzung resultieren. Davon umfasst sind insbesondere die notwendigen Kosten der Rechtsverteidigung. Dies gilt nicht, wenn der Nutzer die Rechtsverletzung nicht zu vertreten hat. Andere Anspr\u00fcche des Anbieters gegen den Nutzer bleiben hiervon unber\u00fchrt.<\/p>\n<p>6.4\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Kommt es zum Verlust von Inhalten des Nutzers, haftet der Anbieter hierf\u00fcr nach Ma\u00dfgabe dieser Ziff. 6 nur, soweit der Nutzer seinen Pflichten zur Erstellung von Backups nach Ziff. 4.3 nachgekommen ist.<\/p>\n<h3><a name=\"_Toc192241782\"><\/a>7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 K\u00fcndigung und Beendigung des Nutzungsvertrages<\/h3>\n<p>7.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Das Vertragsverh\u00e4ltnis \u00fcber die Tool-Nutzung l\u00e4uft auf unbestimmte Zeit.<\/p>\n<p>7.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Hat der Nutzer eine Subcription nach Ma\u00dfgabe von Ziff. 3 abgeschlossen, so kann diese jederzeit unter Ende eines Monats beendet werden. Die K\u00fcndigung erfolgt, indem der Nutzer im Men\u00fcbereich mit Klicks auf das \u201ePersonen-Icon\u201c, dann \u201eAccount settings\u201c, den Button \u201eDelete account\u201c klickt. Die K\u00fcndigung wird mit Zugang der Best\u00e4tigung der K\u00fcndigung wirksam.<\/p>\n<p>7.3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Das Recht zur au\u00dferordentlichen K\u00fcndigung des Nutzungsvertrages aus wichtigem Grund bleibt unber\u00fchrt. Ein wichtiger Grund liegt f\u00fcr den Anbieter insbesondere vor, wenn der Nutzer schwerwiegend gegen die Bestimmungen dieser AGB verst\u00f6\u00dft.<\/p>\n<h3><a name=\"_Toc192241783\"><\/a>8\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Schlussbestimmungen<\/h3>\n<p>8.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts und des Kollisionsrechts; Art. 3 EGBGB bleibt unber\u00fchrt. Hat der Nutzer zum Zeitpunkt der Begr\u00fcndung des Nutzungsvertrages seinen gew\u00f6hnlichen Aufenthalt in einem anderen Land innerhalb von EU\/EWR, bleibt die Anwendung zwingender Rechtsvorschriften dieses Landes von der in diesen AGB getroffenen Rechtswahl unber\u00fchrt.<\/p>\n<p>8.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 M\u00fcndliche Nebenabreden wurden nicht getroffen. \u00c4nderungen und Erg\u00e4nzungen dieser AGB sowie alle auf den Nutzungsvertrag bezogenen Erkl\u00e4rungen der Parteien bed\u00fcrfen der Textform (\u00a7 126b BGB). Dies gilt auch f\u00fcr die Aufhebung des Formerfordernisses.<\/p>\n<p>8.3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Gerichtsstand f\u00fcr s\u00e4mtliche Streitigkeiten aus dem
